1. Acceptance
By creating an account, signing a statement of work, or using any iOmSoft service, you agree to these terms and our Privacy Policy. If you're agreeing on behalf of a company, you confirm you're authorised to bind it. If you don't agree, please don't use the services.
2. Your Account
- Eligibility — you must be at least 18 (or the age of majority in your jurisdiction) and legally able to enter contracts.
- Accuracy — keep your account details (name, email, billing address) current. Out-of-date info is the most common reason invoices and renewal notices get missed.
- Security— you're responsible for what happens under your credentials. Use a strong password, enable 2FA, and tell us immediately if you suspect unauthorised access.
3. The Services
iOmSoft delivers three categories of work:
- Websites — marketing sites, storefronts, and the iOmCMS-hosted platform.
- Software — custom web and mobile applications, AI integrations, and SaaS dashboards.
- Consulting — architecture reviews, cloud migrations, performance and security audits, and team augmentation.
Specific deliverables, timelines, and acceptance criteria for engagements are governed by the signed statement of work or order form, which prevails over these terms if there's a conflict.
4. Subscriptions & Billing
Subscriptions are billed monthly or annually, in advance, in the currency shown at checkout. Payments are processed by Razorpay (and Stripe for non-INR transactions). By providing payment details you authorise us to charge the applicable fees plus taxes.
- Renewals— subscriptions auto-renew at the end of each term unless cancelled at least 24 hours before. Renewal prices may differ from your original price; we'll email you at least 30 days before any increase.
- Cancellation — you can cancel any time from the billing dashboard. Cancellation stops future renewals; it does not refund the current term.
- Refunds — new subscriptions include a 14-day refund window. Beyond that, fees are non-refundable except where required by law. Custom consulting hours already delivered are non-refundable.
- Failed payments— we'll retry over 7 days. Persistent failure suspends access; sustained non-payment terminates the subscription.
- Taxes — prices exclude GST/VAT unless stated. Taxes are added at checkout based on your billing region.
5. Acceptable Use
You agree not to use the services to:
- Break any law or infringe anyone's rights, including IP and privacy.
- Send spam, phishing, malware, or anything deceptive.
- Host illegal, harmful, hateful, or sexually exploitative content.
- Probe, scan, or attempt to compromise our infrastructure or other users.
- Resell, sublicense, or impersonate iOmSoft without written permission.
- Use automated tools to scrape the site beyond what robots.txt permits.
We can suspend or terminate accounts that violate these rules without prior notice if the violation is serious or ongoing.
6. Intellectual Property
Your content stays yours. Briefs, files, copy, images, code, and data you upload remain your property. You grant us a limited licence to host, display, and process that content solely to deliver the services.
Our IP stays ours. The iOmSoft brand, the iOmCMS platform, our frameworks, libraries, internal tools, templates, and the methodology we've built up over years remain ours. When we deliver a project, you get a perpetual licence to use the deliverables for your business; you don't get to resell our underlying components as a standalone product.
For bespoke code written specifically for you under a paid engagement (and not derived from our libraries), the IP transfers to you on full payment.
7. Third-Party Services
The services integrate with third-party platforms — payment processors, cloud hosts, analytics, CRMs, AI APIs. Those services have their own terms and pricing, and we're not responsible for their downtime, data handling, or policy changes. We'll do our best to flag breaking changes that affect you.
8. Warranties
The services are provided “as is” and “as available”, without warranties of any kind, whether express or implied — including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We strive for high uptime and quality, but we don't promise perfection. Specific SLAs, if any, are spelled out in your order form.
9. Limitation of Liability
To the maximum extent permitted by law, iOmSoft's total aggregate liability arising out of or related to the services is limited to the fees you paid us in the 12 months immediately preceding the claim. We're not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if we've been advised of the possibility.
Nothing in these terms excludes liability that can't legally be excluded (e.g. for gross negligence, fraud, or death/personal injury caused by negligence).
10. Indemnification
You agree to defend and hold iOmSoft harmless from third-party claims arising from (a) your content, (b) your violation of these terms, or (c) your misuse of the services. We'll likewise defend you against third-party IP claims that the deliverables we created for you infringe their rights — provided you notify us promptly and let us control the defence.
11. Termination
Either of us can terminate for convenience with 30 days' written notice, or immediately for material breach if not cured within 14 days of notice. On termination we'll give you 30 days to export your data, after which it may be permanently deleted. Sections that by their nature should survive (IP, liability, indemnification, governing law) will survive termination.
12. Governing Law
These terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts of Bengaluru, Karnataka have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its IP or confidential information.
13. Changes
We may update these terms from time to time. For material changes we'll notify account holders by email at least 30 days before they take effect. If you don't agree to the changes, you can cancel before the effective date — your continued use afterward means you accept them.
